    First Ltd co purchase - how to structure

    What will happen if property company gets sued or in legal trouble? Will this affect the trading company since they are linked?

    Can the trading company transfer retained profit to property company?

    They arent taxed when paid from contracting co to property co, as the money would already have been subject to corporation tax when earnt by contracting co.

    With this set-up, if there is a legal issue with the contracting co (e.g. IR35) and the Property SPV is a shareholder of it, could the Property SPV be in danger?

    just to add to this: it's all very clever but may affect your (PropertyCo's) ability to get a mortgage, so check this out - maybe with a broker - first.
